J.C. Penney� (NYSE: JCP ) potentially destroyed huge amounts of shareholder wealth last week with a 44% dilution of shareholders in what could be management's last chance to return the company to relevance with close to $1 billion in new cash. Just a few weeks prior,�Clean Energy Fuels� (NASDAQ: CLNE ) issued $220 million in convertible notes, paying 5.25% interest to bondholders while also seeing CEO Andrew Littlefair buy almost $1.5 million in shares.�
While dilution through new share offerings and the accumulation of debt can both be detrimental, but not always. What was the result of J.C. Penney and Clean Energy Fuels' recent actions, and what should shareholders look for?
Paying for growth
Clean Energy is in full growth mode with its "America's Natural Gas Highway," and its use of convertible notes to raise capital, while not directly dilutive, still carries the potential to dilute shareholders if the notes are converted to shares. Per the press release:

Cadus Corporation (Cadus), incorporated in January 23, 1992, has a wholly owned subsidiary, Cadus Technologies, Inc. (the Subsidiary), which holds all patents, patent applications, know how, licenses and drug discovery technologies of the Company. The Company maintains all its strains, as well as a biological database that catalogues its collection of cells, cell lines, yeast strains and genetic engineering tools. Yeast
The Company has developed technologies based on yeast that are useful in identifying drug discovery candidates targeted at G Protein-coupled receptors. Yeast is a single-celled microorganism that is used to make bread, beer and wine. Both yeast and human cells consist of a membrane, an intracellular region and a nucleus containing genes. The genes in yeast express proteins, including cell-surface receptors, such as G Protein-coupled receptors and signaling molecules, such as protein kinases, that are similar to human proteins.
Hybrid Yeast Cells
The Company developed a technology to insert human genes into yeast cells to create hybrid yeast cells. Its scientists created hybrid yeast cells by replacing yeast G Protein-coupled receptor genes and certain signaling molecules with their human equivalents. As a result, these hybrid yeast cells express a human G Protein-coupled receptor and a portion of its signaling pathway. These hybrid yeast cells can be used to identify those compounds that act as agonists or antagonists to that receptor or a molecule that is in its signaling pathway. The Company designed and developed more than 25 thousand genetically different yeast strains that can be used to build hybrid yeast cells (the Yeast System).

My question is this: How cheap is cheap enough? Clearly (to me), George Risk (RSKIA) is cheap at or even just above book value. It's a darn good business so I'm getting high quality assets and earnings power. That gets less clear when looking at lower quality businesses.

I always find it very interesting to see what long-term investors are selling in a given quarter. Kahn Brothers lightened up on many financials that have shot up and now trade above book value. The firm sold out of Flushing Financial (FFIC), TCF Financial (TCB) and Dime Community Bank (DCOM). Khan apparently shares my views on the large-cap drug stocks, easing up on both Pfizer (PFE) and Bristol Meyers (BMY) over the summer. Khan Brothers also sold the last of the Travelers shares (TRV) it has owned since 2008 at more than twice the purchase price.

Wolseley Plc (WOS) added 3.1 percent to 3,296 pence, its largest gain in more than five weeks. The world�� biggest distributor of plumbing and heating products said so-called trading profit in the 12 months through July climbed to 725 million pounds ($1.2 billion) from 665 million pounds a year earlier. Analysts had predicted earnings of 704 million pounds, according to the average of 20 estimates compiled by the company. Wolseley proposed a special dividend payout of 300 million pounds.

Coal segment

On November 17, 2011, it permanently retired the 176 megawatts Vermilion power generation facility. As of December 31, 2011, the facilities operated entirely within MISO. Its Coal segment is primarily a fleet of baseload coal facilities, located in Illinois. The MISO market includes all of Wisconsin and portions of Michigan, Kentucky, Indian! a, Illinois, Nebraska, Kansas, Missouri, Iowa, Minnesota, North Dakota, Montana and Manitoba, Canada. MISO is as an independent RTO.
Gas Segment
Dynegy�� Gas segment consists of seven operating natural gas-fired power generation facilities located in California (two), Nevada (one), Illinois (one), Pennsylvania (one), New York (one), and Maine (one), and one fuel-oil fired power generation facility located in California, totaling 6,771 megawatts of electric generating capacity. On November 7, 2011, it deconsolidated DH, which indirectly owns all of its assets in the Gas segment. The PJM market includes all or parts of Delaware, Illinois, Indiana, Kentucky, Maryland, Michigan, New Jersey, North Carolina, Ohio, Pennsylvania, Tennessee, Virginia, West Virginia and the District of Columbia. The Company�� Kendall and Ontelaunee facilities located in Illinois and Pennsylvania operate in PJM with an aggregate net generating capacity of 1,780 megawatts.
DNE Segment
Dynegy�� DNE segment consists of the Roseton and Danskammer facilities located in Newburgh, New York, with a total capacity of 1,693 megawatts. Its total of 1,570 megawatts of generation capacity relates to leased units at the two facilities. The Company�� Roseton and Danskammer facility sites are adjacent and share common resources, such as fuel handling, a docking terminal, personnel and certain associated systems.

Dynegy (NYSE: DYN) shares shot up 7.62 percent to $31.99 after the company announced its plans to acquire assets from Duke Energy (NYSE: DUK) and Energy Capital Partners for a total consideration of $6.25 billion.

Dynegy (NYSE: DYN) announced that it has acquired power generation assets from Duke Energy (NYSE: DUK) and Energy Capital partners. In total, Dynegy acquired 12.5 megawatts of coal and gas generation, almost doubling its existing assets to nearly 26,000 megawatts. Dynegy expects the acquisitions will create synergy targets of more than $40 million per year, $200 million in collateral efficiencies translating to nearly $500 million in present value cash savings. The company expects its adjusted EBITDA accretion to be 125 percent, while its free cash flow accretion will be 220 percent in 2015. Shares gained 8.75 percent, closing at $32.32.

Dynegy Inc (DYN) emerged from bankruptcy last year. The share price didn't really go anywhere. In the meantime 2013 free cash flow guidance is being revised upward to $190 million - $215 million and a deal to take over capacity from Ameren Corp (AEE) is likely to be finalized in the 4th quarter. On the basis of current cash flow, the company is fairly valued. If the Ameren facilities are added in, the cash flow of the combined facilities is greatly undervalued.
